These Terms govern your access to and use of this website and the Buzzerboy Partner Access application process. By using the site or submitting an application, you agree to be bound by them. If you do not agree, please do not use the site.

Acceptance of Terms

By using the site you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the site on behalf of a company, you represent that you have authority to bind that company.

What These Terms Cover — and What They Don't

These Terms cover the website and the application process only. They are not the reselling agreement. Any actual partnership between Buzzerboy and a software company — margin, deal registration, territory, support obligations, intellectual property, term and termination — is governed exclusively by a separate written reseller agreement signed by both parties. Nothing on this website forms part of that agreement, and nothing here obliges either side to enter into one.

Description of What We Do

Buzzerboy is a software reseller and channel partner. We take software products that are already in market and present, package, contract and sell them into enterprise and public-sector accounts, acting as reseller of record where the parties agree to that. We also build and operate our own software products. Specific deliverables, obligations and commercial terms are agreed in writing at the time of engagement.

Applications

Submitting an application through this site does not create a partnership, a contract, an exclusivity, or any obligation on Buzzerboy to proceed. We assess applications at our sole discretion and decline most of them. You agree that the information you submit is accurate and that you are entitled to share it.

We do not require or accept confidential materials — source code, customer lists, financial statements — as part of an application. Information you volunteer through the public form is handled under our Privacy Policy, but you should not send us anything you consider a trade secret before a confidentiality agreement is in place.

No Offer, No Advice

Nothing on this site is an offer to sell or a solicitation to buy securities, nor is it investment, legal, tax or accounting advice. Statements about outcomes, timelines and what a partnership can achieve are descriptions of how we work, not guarantees of a result.

You agree to use the site only for lawful purposes and in accordance with these Terms. You agree not to:

Intellectual Property

All content on this site — text, graphics, logos, layout and software — is the property of Buzzerboy or its licensors and is protected by intellectual property laws. You may not reproduce, distribute or create derivative works from it without our express written permission.

Third-party names and marks shown on this site, including those of partners, portfolio companies and cloud providers, belong to their respective owners and appear for identification only.

A partner retains all intellectual property in its own software. Buzzerboy retains all intellectual property in its own products, tooling, templates and channel materials. Any licence between the parties is granted only in the signed reseller agreement.

Third-Party Links and Platforms

This site links to our portfolio products and to third-party platforms. We are not responsible for the content, terms or privacy practices of any site we link to. Where a transaction is placed through a cloud marketplace or procurement platform, that platform's own terms apply to the transaction.

Disclaimers

The site is provided on an "as-is" and "as-available" basis. To the fullest extent permitted by applicable law, Buzzerboy disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, and makes no representation that the site will be uninterrupted, error-free or that information on it is complete or current.

Limitation of Liability

In no event shall Buzzerboy, its affiliates, or their respective officers, directors, employees or agents be liable for any indirect, incidental, special, consequential or punitive damages — including loss of profits, data, goodwill or other intangible losses — arising out of your access to or use of, or inability to use, this site.

Indemnification

You agree to indemnify, defend and hold harmless Buzzerboy, its affiliates and their respective officers, directors, employees and agents from any claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising out of your use of the site or your breach of these Terms.

Changes to These Terms

We may modify these Terms at any time. Changes take effect when posted on this page. Continued use of the site after a change constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the site shall be resolved exclusively in the courts located in Ontario, Canada.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Buzzerboy regarding your use of this site, and supersede any prior understanding on that subject. They do not supersede a signed reseller agreement, which governs the partnership itself.
